EFLC "stops working" on startup...

My steam copy of EFLC (not modded in anyway) crash right after the yellow Rockstar logo shows, and it crash before that if i press a key. I had my old 8800gt on RMA with BFG for the last 2 weeks, and during that time EFLC updated with the 120mb patch. Now i have a 9800gtx back from the RMA and whenever i tried to launch it, the games just crash. Also, my i tried to launch DVD copy of GTA IV and it asked my the activate it again, which i did, and it then works beautifully. What is the problem here, Steam, EFLC patch, or the new 9800gtx???

System:
Windows 7 x64 Pro
4GB ram
Q8200
BFG 9800GTX OC
