Upgrade cpu or not?

That link is to pc I own and game on. I got Saphire 6870 1gb and corsair 650 watt on the way(in the mail).
With all this said, "would it be worth it to upgrade cpu to this http://www.directron.com/hdx840wfgmbox.html
That as high as I can go. Will the amd 2.8 quad have enough muscle for me to benefit from Saphire 6870 1gb ?

I don't think you'll notice enough difference to be worth while.

The one you currently have is enough. I would wait until Bulldozer arrives, then build a new PC, reusing your 6870 and 650w PSU.

Will there be a noticeable difference on my system between ati 5770 vs the ati 6870? I want those 85 +fps without having to turn off shadows,texture... etc.

You can't max things out on a 5770?

Can't be sure, but the 6000 series can actually be worse than cards in the 5000 series. Will need links that work.
